Are you an organized, detail-focused person passionate about empowering nonprofits? Projects on Purpose Inc. seeks a dedicated Board Secretary to support effective governance and ensure transparency as we advance our mission.
As current Board Secretary, it is with a heavy heart that I chose to step down from my role for the right candidate that can dedicate the time and presence needed to support Projects on Purpose Inc., moving forward. I am leaving the Lane County community to pursue a career in acupuncture and oriental medicine and am seeking a dedicated and involved community member that is willing to learn and grow with this fantastic non-profit.

Role Overview
As Board Secretary, you will be the cornerstone of our board’s administrative and governance framework. You’ll ensure meetings run smoothly, records are meticulously maintained, and the board remains compliant and well-informed.
Key Responsibilities
· Facilitate Board Meetings
o Prepare and distribute agendas and related materials in advance.
o Record accurate minutes, capturing attendance, motions, votes, and action items.
o Manage roll calls and ensure quorum compliance.
· Maintain Official Records & Compliance
o Keep secure, organized physical and digital archives, including bylaws, meeting minutes, policies, contracts, and governing documents.
o Manage legal compliance: send meeting notices in accordance with bylaws
· Board Communication & Coordination
o Act as the central point of contact for internal and external board correspondences.
o Support onboarding, distribute documents, and coordinate between meetings. (The NeuroEquity Project)
Essential Skills & Qualifications
· Exceptional organizational skills – able to manage multiple documents, timelines, and logistics effectively.
· Strong written and verbal communication – for drafting clear minutes, agendas, notices, and correspondence.
· Attention to detail – high standards of accuracy in record-keeping and documentation.
· Interest in building familiarity with nonprofit governance and legal compliance – or readiness to learn frameworks like 501(c)(3) filings, bylaws, and state regulations.
· Discretion and confidentiality – sensitive information handling with integrity.
· Tech-savvy and tool-oriented – proficient with MS Office/Google Workspace and board-management platforms.
· Strong interpersonal and facilitation skills – able to communicate clearly, manage diverse viewpoints, and maintain board engagement.
· Time management – adept at meeting deadlines and balancing responsibilities across tasks.

Time Commitment
